Vitaflo licenses world wide rights for two products in Medical Nutrition



(Lysaker, Norway, 6 May 2008) Navamedic\'s subsidiary Vitaflo Scandinavia AB and the Swedish corporation Lantmännen AS – Faktor AB have signed an agreement for the products SPC- Flakes and Salovum. Vitaflo will have the rights to market and sell the products world wide from July 2008. Both products fall within the knowledge area Medical Nutrition and fit well into the company’s existing product portfolio.

Swedish scientists were the first to discover the Antisecretory protein, Factor AF, an endogenous protein found in all living species, including the human body, regulating the body’s secretory and Ion balance. Scientists have found and documented, in a long row of Clinical studies, that people suffering from IBD, Mb Meniere and severe diarrhoea, have low amounts of protein AF. Both Swedish and international studies have shown that SPC-Flakes and Salovum can be used effectively of regulating the level of protein AF to therapeutic levels.



- Both products have shown effect in a number of clinical studies in Sweden and abroad, and are subject to patents all over the world, says Lars Sjöstrand, CEO for Lantmännen AS-Faktor AB.



SPC-Flakes is used in the treatment of inflammatory bowel disease (IBD) and Mb Ménières disease causing dizziness. Salovum is effective in the acute treatment of inflammatory and secretory conditions.



-Each year, diarrhoea causes the death of about five million children world wide. Therefore, I am happy to announce that in Pakistan, the treatment with Salovum gave significant improvements on children with severe diarrhoea, says Lars Sjöstrand.



Vitaflo will have the responsibility for the sales and marketing of SPC-Flakes and Salovum world wide from July 2008. Vitaflo will sell the products in markets where Vitaflo is already present and through well known partners elsewhere. The products are currently on the market in Sweden. Without any marketing efforts, the products sold for SEK 4 million in 2007.



The agreement has an initial duration of 4 years and may be prolonged. Lantmännen AF - Faktor AB and Vitaflo Scandinavia AB are interested in a long term agreement and Vitaflo will not pay any up-front payments or license fee for the rights.



The products are classified as food for special medical purpose. The patents last until 2014, 2016 respectively, and new patent applications are filed 2006.



Navamedic is a fast-growing specialty pharma company. The company is well underway with the international commercialization of its osteoarthritis medication Glucomed. In 2006, Glucomed was the first glucosamine product approved by European authorities for marketing as a drug in all EU countries. Through the acquisition of Vitaflo Scandinavia AB in 2007, Navamedic initiated an expansion of its strategy to include marketing of pharmaceutical products in selected countries. Vitaflo represents more than 45 products from over 20 foreign companies on the Nordic markets, and has shown significant revenue growth over the last 5 years. Vitaflo Scandinavia AB has signed an agreement with Mekos (Denmark)and Smart Practice (Canada) for marketing of the product line Allergeaze in Denmark, Finland, Norway, Sweden and Iceland. This agreement fits well into the Company\\\'s strategy to expand the product portfolio in selected knowledge areas. The products fall into the knowledge area dermatology where Vitaflo Scandinavia is already present with several products. With the new product line Allergeaze Vitaflo Scandinavia will be the leading distributor for products for patch testing allergic contact dermatitis. Today Vitaflo Scandinavia is present in this field with the pharmaceutical product TrueTest/MekosTest produced by Mekos.
The current market size for the targeted market is approximately SEK 10 million. The Allergeaze product line is ready to be launched at the marked in Denmark, Finland, Norway, Sweden and Iceland. The agreement has an initial duration of 2 years and may be prolonged for additional 2-year periods.

On 4 October, Navamedic ASA completed the acquisition of 100% of the shares in the Swedish pharmaceutical company Vitaflo Scandinavia AB from POA Consulting Scandinavia AB, and takes the first step towards the creation of an international speciality pharmaceutical company.



Navamedic, and Vitaflo Scandinavia (Vitaflo) is the start of a new and exciting strategic phase. The aim is to become an international speciality pharmaceutical company. Vitaflo, with its increasing product portfolio in selected growth areas gives a strong platform to build upon.



Vitaflo markets a wide portfolio of own and in-licensed products in Norway, Denmark, Sweden, Finland, Holland, and Iceland, and has further growth ambitions. The portfolio consists of 44 products in 10 knowledge areas, whereof Metabolic Diseases, Oral Medicine and Female Care are expected to be the most important going forward.



Navamedic paid SEK 90 million for Vitaflo Scandinavia AB (enterprise value), of which SEK 54 million in cash and SEK 36 million in the Navamedic shares resolved issued 4 October 2007. The purchase agreement consists of an earn-out model based on achieved EBITDA for Vitaflo Scandinavia AB in 2007.



On 4 October 2007, with a contribution in kind of 40% of the shares in Vitaflo, the Board of Directors in Navamedic resolved to issue 672.213 new shares in Navamedic to the seller of Vitaflo, POA Consulting Scandinavia AB, to a price of NOK 44,90 per share.

After the registration of these capital increases, POA Consulting Scandinavia AB will own 672.213 shares in Navamedic ASA, corresponding to 8,92% of the 7.537.051 shares in the company.This makes POA Consulting the biggest owner group of Navamedic ASA. POA Consulting Scandinavia AB is owned by among others RolandSandström (56,1%) and Tina Madsen Sandström (9,75%). Roland Sandström was 6 September 2007 elected as a board member in Navamedic ASA, effective from 4 October 2007.



Trading of the new shares is expected on Oslo Stock Exchange from 8 October 2007.

Swedish speciality pharmaceutical company Vitaflo Scandinavia AB At the same time, by a new share issue, POA Consulting Scandinavia AB will be a mayor shareholder of the Navamedic/Vitaflo group.



For Vitaflo there will be no change in management or organistaion and the business is to continut as.



We see a lot of advantages with this exciting opportunity as mentioned above but also to add financial muscles (more marketing!) and an in-house regulatory department.



Vitaflo will with this exiting cooperation being able, to focus on continues growth for the group, in the Nordic area as well as outside that region.

We will be able to offer, to our principals, a regulatory department in house and we will be able to invest in even more marketing resources than before.

In a trial at the Maritime and Commercial court in Copenhagen (Sø- och Handelsretten), a former principal to Vitaflo Scandinavia AB, Pharma Vinci A/S, was judged to pay Vitaflo 956.738 SEK plus interest rate since February 2002, as a compensation for breach of contract before the stipulated period.

Furthermore Pharma-Vinci had to pay all court proceedings.

The yearly Vitaflo symposia in Gothenburg this year, has the title \"Management By Love\", and will take place September 29 in the concert hall.

Chairman for the symposium is Professor Edgard Borgenhammar.

A letter of intent has been signed between Vitaflo/POA and Fertin regarding a Chlorhexidine chewing gum for Scandinavia. More or less all people over the age of 40 has problems with Gingivitis and their exists today no Chlorhexidine chewing gums within the Scandinavian market. Fertin , a Company within the Danish Dandy group, is the world leading company in developing medical chewing gum.

During October Vitaflo has launched Bettamousse in Sweden and Denmark. Bettamousse is a new concept for treatment of Psoriasis in the Scalp. Producer is The English Pharmaceutical Company Medewa and the product is a type of group three steroids in mousse form. Introduction to the Finnish market will be made during November.Medewa is the fourth biggest Pharmaceutical company in UK.
